Terms and Conditions of Sale for Professionals
Version: B2B-2026-10 — In force from: 21 October 2026
1. Who we are
1.1. These terms are issued by MONDE SINGULIER, a French société par actions simplifiée with a share capital of €3,570.80, registered with the Paris Trade and Companies Register (RCS) under number 912 338 431, whose registered office is at 73 rue du Faubourg Poissonnière, 75009 Paris, France, intra-community VAT number FR61912338431 ("Monde Singulier", "we", "us").
1.2. Contact: orders@monde-singulier.com for anything relating to an order (quotations, payments, delivery, claims); contact@monde-singulier.com for any other request — +33 6 49 61 86 35.
2. Scope and order of precedence
2.1. These General Terms of Sale for Professional Buyers (the "Terms") apply to every sale of Products by Monde Singulier to a buyer acting for the purposes of its trade, business, craft or profession, including interior designers, architects, decorators, hospitality groups, developers, brands and retailers (the "Buyer"), whether the order is placed through a Monde Singulier professional account ("MS Pro account") on www.monde-singulier.com (the "Website") or by accepting a quotation.
2.2. Buyers acting as consumers are governed by the General Terms of Sale for Consumers, not by these Terms.
2.3. These Terms form a single contract together with:
- (a) the accepted Quotation or Website order and the Order Confirmation, including any special conditions they contain;
- (b) the Delivery & Shipping Policy; and
- (c) the Returns & Warranty Policy,
each in the version in force on the date of the order. In case of conflict, the order of precedence is: (a), then these Terms, then (b) and (c).
2.4. These Terms constitute the sole basis of the commercial negotiation within the meaning of Article L. 441-1 of the French Commercial Code. Any general purchasing conditions of the Buyer are excluded unless expressly accepted by Monde Singulier in writing.
2.5. Monde Singulier may amend these Terms at any time. The version applicable to an order is the one in force on the date of the Quotation (to which the Quotation links) or the one accepted at checkout on the Website; later versions do not apply to orders already accepted.
3. Definitions
- "Designer": the independent designer, studio or workshop that designs and/or manufactures a Product. Designers are Monde Singulier's suppliers; they are not parties to the contract with the Buyer.
- "Product": any item of furniture, lighting, object or other good offered by Monde Singulier.
- "In-Stock Product": a finished Product available for immediate dispatch, as indicated on the Website or in the Quotation.
- "Made-to-Order Product": a Product listed in our catalogue and manufactured specifically for the Buyer after the order, in a configuration (dimensions, materials, finishes) offered in the catalogue.
- "Custom Product": a Product manufactured to the Buyer's own specifications, including any modification of dimensions, materials, finishes, colours or design not offered as a standard option, and any entirely bespoke piece.
- "Quotation": the written offer issued by Monde Singulier, stating the Products, prices, currency, payment schedule, estimated lead times and delivery terms.
- "Order Confirmation": the written confirmation sent by Monde Singulier once an order is accepted.
- "Deposit": the first instalment of the price payable to launch production.
- "Balance": the remainder of the price.
- "Delivery": the moment defined in Article 11 and in the Delivery & Shipping Policy.
4. Monde Singulier's role
4.1. Monde Singulier sells the Products in its own name and for its own account. The Buyer's sole contracting party is Monde Singulier, which is responsible for performing the contract towards the Buyer, including where Products are manufactured and shipped directly by a Designer.
4.2. The Designer's name is given for attribution purposes. The Buyer shall not order directly from a Designer a Product first presented to it by Monde Singulier, for the duration of the project concerned and 12 months thereafter.
5. Quotations and formation of the contract
5.1. Quotations. A Quotation is valid for the period stated on it, or failing that for 14 calendar days from its date. Prices of Custom Products depend on the Designer's confirmation of feasibility and may be revised before acceptance.
5.2. Acceptance. Subject to Article 5.3, the contract is formed when the Buyer accepts the Quotation (by signature, electronic signature or online acceptance) or places an order through its MS Pro account, and Monde Singulier issues the Order Confirmation. Acceptance of a Quotation implies acceptance of these Terms.
5.3. Website orders whose shipping cost cannot be calculated online. Where the Website indicates "Shipping to be quoted", no payment is taken and the Buyer's request, sent by clicking "Send my order request", is not a binding order. Monde Singulier sends the Buyer a shipping quotation stating the total price, together with a payment link. The contract is formed only when the Buyer accepts the shipping quotation and pays, and Monde Singulier then issues the Order Confirmation. The shipping quotation is valid for 14 days from the day it is sent; reminders are sent during that period, and if it is not accepted and paid within it, the request lapses and is cancelled, without cost to either party, and the Buyer is informed by email.
5.4. Launch of production. Production of Made-to-Order and Custom Products starts only after (i) receipt of the Deposit and (ii) the Buyer's written approval of any drawings, finishes or samples required under Article 7.
5.5. Monde Singulier may refuse or cancel an order in case of a manifest pricing error, a previous unpaid order, or a Designer's inability to manufacture the Product; any sum paid is then refunded in full.
6. Products, descriptions and natural variations
6.1. Products are described as accurately as possible. Photographs, renderings and on-screen colours are for illustration only and are not contractual.
6.2. Products are made by hand from natural materials (including wood, stone, marble, metal, leather, textiles, ceramics, glass). Variations in grain, veining, colour, patina, texture, and small irregularities are inherent to these materials and techniques, are not defects, and do not give rise to any claim.
6.3. Unless stated otherwise in the Quotation, dimensions may vary within a tolerance of ± 2 % or ± 1 cm, whichever is greater.
6.4. A Designer may make minor changes to a Product's construction or materials that do not affect its appearance, function or quality. Any other change requires the Buyer's consent.
6.5. A Product is sold with a certificate of authenticity, a signature, a number or as part of a limited edition only where this is stated in the Quotation or on its product page.
6.6. Samples are provided for indication only; natural materials used for the final Product may differ from the sample.
7. Custom Products and approvals
7.1. For Custom Products and any Product requiring a choice of finish, the Buyer shall provide complete specifications and approve in writing the drawings, finishes, samples or prototypes submitted to it. The Buyer's written approval is final: a Product conforming to the approved specifications is deemed conforming.
7.2. The Buyer is solely responsible for the suitability of the Product for its intended use and project, including compliance with any fire-safety, contract-grade, accessibility, building or hospitality regulations of the place of installation, and must state any such requirement in writing before acceptance of the Quotation. Monde Singulier will then confirm whether the Designer can meet it and at what cost.
7.3. Any change requested after production has started may be refused, or accepted subject to a revised price and lead time.
8. Prices
8.1. Prices are stated in the Quotation or on the Website, exclusive of VAT, in the currency stated (euro, US dollar, pound sterling or UAE dirham). The price is firm once the Order Confirmation is issued.
8.2. Unless the Quotation states otherwise, prices do not include: crating and packaging, transport, insurance, white-glove delivery or installation, export and import formalities, customs duties, import VAT and other taxes or charges of the country of destination. Where Monde Singulier arranges transport, these items are quoted separately and listed in the Quotation.
8.3. VAT is invoiced in accordance with French and EU VAT rules applicable on the invoice date. In particular:
- (a) Buyers established in another EU Member State must provide a valid intra-community VAT number, verified by Monde Singulier in the VIES system; failing a valid number, French VAT or the VAT of the destination country is charged;
- (b) deliveries of goods outside the European Union are invoiced exclusive of VAT; the Buyer shall provide any document required to evidence the export.
8.4. Currency. Payment is due in the currency of the invoice. Currency conversion costs and bank charges of the Buyer's bank are borne by the Buyer; the amount credited to Monde Singulier must equal the amount invoiced.
8.5. No surcharge is applied to any payment method.
9. Payment
9.1. Payment schedule. Unless the Quotation provides otherwise:
- (a) In-Stock Products: 100 % of the price, plus shipping costs, before dispatch;
- (b) Made-to-Order and Custom Products: a Deposit of 50 % of the price on acceptance of the Quotation; the Balance is invoiced when the Products are ready for dispatch and must be paid before dispatch;
- (c) shipping, crating and related services: together with the Balance, before dispatch; for Website orders, on ordering, together with the Products (or, for "Shipping to be quoted", on acceptance of the shipping quotation under Article 5.3).
9.2. Invoices and due dates. Each invoice states its due date, which is no later than 30 days from the invoice date, in accordance with Article L. 441-10 of the French Commercial Code. For any amount payable before dispatch (including the Balance), the due date is the earlier of (i) that date and (ii) the scheduled dispatch date; the Products are not dispatched until that amount is paid.
9.3. The Deposit is an acompte — a part-payment of the price that makes the order firm and binding on both parties. It is not an option fee (arrhes) allowing either party to withdraw.
9.4. Methods. For an order placed on the Website: payment card (Visa, Mastercard, American Express), PayPal or bank transfer, at checkout. Otherwise: bank transfer, in the currency of the invoice or Quotation, to the account indicated on the invoice, quoting the payment reference shown on it. Payment by card may be offered through a secure payment link, depending on the amount of the order. Our invoices and payment details are sent only from @monde-singulier.com addresses. Before sending a transfer to bank details you do not yet know or that have changed, call your sales contact on a number you already know (never one given in the email itself).
9.5. No discount is granted for early payment.
9.6. Late payment. Any amount not paid on its due date automatically bears, without prior notice, late-payment interest at three (3) times the French statutory interest rate, and gives rise to a fixed indemnity for recovery costs of EUR 40 (Articles L. 441-10 and D. 441-5 of the French Commercial Code), without prejudice to additional compensation where recovery costs exceed that amount.
9.7. Consequences of non-payment. If any instalment is unpaid 15 days after a formal notice, Monde Singulier may, without liability: suspend production and dispatch; postpone delivery accordingly; and/or terminate the order under Article 14.4. All sums owed by the Buyer for any order become immediately due.
9.8. The Buyer may not set off any amount against the price, nor withhold payment on account of a claim, without Monde Singulier's written agreement.
9.9. Promotional codes. A promotional code is entered in the field provided at checkout on the Website, before the order is confirmed; only one code per order is accepted. It applies to the price of the Products only, never to transport, crating or delivery, and may be limited in time, in number of uses or to one account. It does not add to the professional discount of the Buyer's account: when a code is applied, it replaces that discount. It cannot be applied after the order, nor to a sale by Quotation unless the Quotation says so, and it has no cash value.
10. Lead times
10.1. Production and delivery lead times stated on the Website ("Production & delivery") or in the Quotation are estimates, based on the Designers' usual manufacturing times. They run from the later of (i) receipt of the Deposit and (ii) the Buyer's final written approval under Article 7.
10.2. Monde Singulier will inform the Buyer promptly of any foreseeable delay and of the new estimated date.
10.3. A delay does not entitle the Buyer to cancel the order, refuse the Products or claim damages or penalties, unless (a) a firm delivery date was expressly agreed in the Quotation as an essential term, or (b) the delay exceeds the estimated lead time by more than 8 weeks for a reason other than force majeure or an act or omission of the Buyer. In case (b), the Buyer may cancel the affected Products by written notice and obtain a refund of the sums paid for them, which is its sole remedy for the delay.
10.4. The Buyer shall accept delivery within 30 days of being notified that the Products are ready. Beyond that period, storage, handling and insurance costs are charged to the Buyer at cost, the Products are stored at the Buyer's risk, and the Balance becomes due.
11. Delivery, Incoterms and transfer of risk
11.1. Delivery terms are set out in the Quotation and in the Delivery & Shipping Policy. Unless the Quotation states otherwise, the Incoterms® 2020 rules apply as follows:
- (a) when Monde Singulier arranges transport: DAP (Delivered at Place), at the delivery address stated in the Order Confirmation. Monde Singulier bears the cost and risk of carriage until the Products are made available to the Buyer at that address, ready for unloading (or, where white-glove delivery is ordered, until they are carried into the room designated by the Buyer). Import formalities, customs duties, import VAT and any other taxes or charges of the country of destination are borne by the Buyer.
- (b) when the Buyer arranges transport itself: FCA (Free Carrier), at the Designer's workshop or other pick-up address stated in the Order Confirmation. Risk passes to the Buyer when the Products are handed over to the Buyer's carrier. Monde Singulier completes export formalities where the Products leave the European Union from a place where it is able to do so; the Buyer shall provide the carrier's proof of export on request and, in any case, within 30 days of collection. If no valid proof that the Products have left the European Union is provided, the sale may no longer be invoiced exclusive of VAT, and Monde Singulier may invoice the Buyer for the VAT due, which the Buyer shall pay.
11.2. Where the Buyer is the importer of record, it is responsible for the customs clearance of the Products and for any delay, storage or charges resulting from its failure to clear them. Products refused or abandoned at destination remain payable in full; return and destruction costs are charged to the Buyer.
11.3. Every shipment arranged by Monde Singulier is insured, from collection at the workshop until delivery, for the value of the Products stated on the invoice and, in case of total loss, the transport costs, as described in the Delivery & Shipping Policy.
12. Retention of title
12.1. Title to the Products passes to the Buyer only upon full payment of the price (principal, taxes, costs and interest). Until then, the Products remain the property of Monde Singulier or, as the case may be, of the Designer, and Monde Singulier may exercise the rights set out below on its own behalf or on the Designer's behalf. Handing over a bill of exchange or any other instrument creating an obligation to pay does not constitute payment.
12.2. Risk nevertheless passes to the Buyer as provided in Article 11. Until full payment, the Buyer shall keep the Products identifiable, insured and free of any pledge.
12.3. If payment is not made on the due date, Monde Singulier may reclaim the Products at the Buyer's cost; any sums already paid may be retained up to the amount owed.
12.4. Where the Buyer resells the Products to its own client before full payment, Monde Singulier's rights transfer to the resale price, which the Buyer shall hold on Monde Singulier's behalf.
13. Inspection and transit damage
13.1. On delivery, the Buyer (or its representative) shall inspect the packaging and Products in the presence of the carrier wherever possible, and record any damage, missing item or reservation precisely on the delivery note, with photographs.
13.2. Any transit damage, missing item or apparent non-conformity must be notified to Monde Singulier in writing, at orders@monde-singulier.com, with photographs of the Product and packaging and a copy of the delivery note, within 72 hours (calendar hours) of Delivery. The Buyer shall keep all packaging and crates until the claim is closed.
13.3. Where the Buyer bears the risk of carriage (FCA), it must also notify the carrier within the time limits applicable to the carrier (in France, three days, excluding public holidays, by registered letter — Article L. 133-3 of the French Commercial Code).
13.4. For shipments arranged by Monde Singulier and notified in accordance with Article 13.2, Monde Singulier will, at its choice, arrange repair, replacement or refund of the damaged Products, and handle the insurance claim.
13.5. Products accepted without reservation and not notified within the above time limit are deemed delivered in apparent good condition and conforming, without prejudice to claims for hidden defects under Article 16.
14. Changes and cancellation
14.1. In-Stock Products may be cancelled free of charge before dispatch.
14.2. Made-to-Order and Custom Products — cancellation by the Buyer:
- (a) before production has been launched (i.e. before the Deposit is received or before final approval under Article 7): free of charge, save for costs already incurred and agreed (samples, drawings, prototypes);
- (b) after production has been launched: the Deposit is retained by Monde Singulier as a fixed indemnity, and the Buyer shall pay, in addition, any costs incurred by Monde Singulier in excess of the Deposit;
- (c) once the Products are completed or dispatched: cancellation is not possible; the full price is due.
14.3. Any change to an order after the Order Confirmation requires Monde Singulier's written agreement and may result in a revised price and lead time.
14.4. Termination by Monde Singulier. If the Buyer fails to pay any sum due, or to accept delivery, within 15 days of a formal notice sent by email or registered letter, Monde Singulier may terminate the order; Article 14.2 then applies as if the Buyer had cancelled.
15. Returns
15.1. Products are sold as final sale. Made-to-Order and Custom Products cannot be returned or exchanged, save in case of transit damage (Article 13) or non-conformity or defect (Article 16).
15.2. The return of an In-Stock Product is only possible with Monde Singulier's prior written agreement, on the conditions set out in the Returns & Warranty Policy.
16. Conformity, defects and warranty
16.1. Monde Singulier warrants that the Products conform to the Order Confirmation and approved specifications and are free from manufacturing defects for 12 months from Delivery (the "Contractual Warranty"). Details, exclusions and the claims procedure are set out in the Returns & Warranty Policy.
16.2. Any claim must be notified in writing, at orders@monde-singulier.com, with photographs and a description, within 30 days of the discovery of the defect. The Buyer shall allow Monde Singulier or the Designer to inspect the Product.
16.3. Under the Contractual Warranty, Monde Singulier will, at its choice, repair, replace or refund the defective Product. The costs of transport of a Product under warranty are borne by Monde Singulier where the claim is accepted.
16.4. Exclusions: natural variations (Article 6.2); normal wear and tear; damage caused by misuse, lack of maintenance, failure to follow care instructions, exposure to unsuitable conditions (humidity, heat, direct sunlight, outdoor use of indoor Products), accidents; any modification, installation or repair carried out by a third party; any use not disclosed in writing under Article 7.2.
16.5. Nothing in these Terms excludes the legal warranty against hidden defects (Articles 1641 et seq. of the French Civil Code) where it applies by law.
17. Liability
17.1. Monde Singulier's total liability under or in connection with an order, for any cause whatsoever, is limited to the price excluding VAT actually paid for the Products concerned.
17.2. Monde Singulier is not liable for indirect or consequential loss, including loss of profit, revenue, business, opportunity or contract, delay penalties owed by the Buyer to its own client, or costs of the Buyer's project.
17.3. These limitations do not apply in case of gross negligence (faute lourde), wilful misconduct (dol), personal injury, or where the law prohibits them.
18. Force majeure
18.1. Neither party is liable for a failure or delay caused by an event of force majeure within the meaning of Article 1218 of the French Civil Code, including, where they meet that definition, natural disasters, epidemics, war, sanctions, strikes, fire, breakdown or insolvency of a Designer, shortage of materials, transport or customs disruption.
18.2. The affected party shall notify the other promptly. If the event lasts more than 3 months, either party may terminate the affected order by written notice; sums paid for Products not delivered are refunded, less costs already incurred for Custom Products.
19. Intellectual property
19.1. The designs, models, drawings, names and images of the Products are the property of their Designers and/or Monde Singulier and are protected by intellectual property law. The sale of a Product transfers ownership of that physical Product only; it does not transfer any intellectual property right.
19.2. The Buyer shall not reproduce, copy, have manufactured or allow the manufacture of any Product or design, in whole or in part, nor use drawings, specifications or samples supplied by Monde Singulier for any purpose other than the order.
19.3. Photographs and presentations supplied by Monde Singulier may be used by the Buyer only to present the Products to its own client for the project concerned, with credit to the Designer and to Monde Singulier.
19.4. With the Buyer's prior consent, Monde Singulier may photograph the Products in place and use such images, without disclosing the client's identity unless agreed.
20. Confidentiality
Prices, trade discounts and terms granted to the Buyer are confidential and shall not be disclosed to third parties, except to the Buyer's own client to the extent necessary for the project.
21. Personal data
Monde Singulier processes the personal data of the Buyer's contacts to manage orders, invoicing, delivery and the business relationship, in accordance with its Privacy Policy. The Buyer shall inform its staff and, where relevant, its own client (for instance when giving a delivery address) of this processing.
22. Export control and sanctions
The Buyer undertakes not to sell, export or re-export the Products, directly or indirectly, in breach of any applicable sanctions or export restrictions of the European Union, France, the United Kingdom, the United States or the United Nations. Monde Singulier may suspend or cancel any order that would breach such rules.
23. Governing law, disputes and language
23.1. Governing law. These Terms and every sale to which they apply are governed by French law. The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) applies to international sales where its conditions are met, supplemented by these Terms and, for matters it does not govern, by French law.
23.2. Disputes. The parties shall first seek an amicable settlement for 30 days from written notice of the dispute. Failing settlement, any dispute relating to these Terms or to any sale shall be submitted to the exclusive jurisdiction of the commercial courts of Paris, France (currently the Tribunal des activités économiques de Paris), including in case of multiple defendants or third-party claims, and without prejudice to summary or interim proceedings. Monde Singulier may nevertheless bring proceedings before the courts of the Buyer's registered office.
23.3. Language. These Terms are drafted in English, which is the governing version. A French translation is available on the Website; in case of discrepancy, the English version prevails.
24. Miscellaneous
24.1. If any provision of these Terms is held invalid, the remaining provisions remain in force.
24.2. Monde Singulier's failure to enforce a provision is not a waiver of that provision.
24.3. Notices are validly given by email to the addresses stated in the Order Confirmation, or by registered letter.
24.4. The Buyer may not assign its rights under an order without Monde Singulier's written consent.
